Why Should You Be Aware Of Long Firm Fraud?

If your biggest customer went bust owing you a substantial amount of money, would your business be able to survive? It will depend on how much you have come to depend on that one customer. A long firm fraudster will try to become your best customer as quickly as possible, seemingly ordering large amounts and may even not be too fussy about the price you are charging. It pays to be on the look-out for this type of customer.

Long firm frauds depend on the ability to buy goods on credit. A fraudster will set up a company that looks legitimate. It will be well documented on Companies House, be registered for VAT and may even be able to provide seemingly bone fide business references. It will buy goods from you, paying up front at first. Eventually you will give it credit, extending the credit limit as it appears to be becoming an increasingly valuable customer. At some point it will extend its credit even further, perhaps missing a large payment while making a big order. Many businesses are blinded by what seems to be a rapidly developing and profitable trading relationship. So they ignore the risk and accept the order.

It is at this point that the long firm fraudster stops trading his company, owing you as much money as he possibly could and also to many other different businesses. The fraudster declares insolvency and in many cases finds a friendly insolvency practitioner to close the company down so that he can walk away safely. The risk of being investigated and brought to book by the authorities is low given the scarce public sector funding resources available these days.

Such a fraudulently established business will need to buy the sort of goods it can dispose of readily; after all it is not a real business and will not be seeking to make a profit in the usual way. It makes its profit by buying good quality merchandise from its victim companies and disposing of them very cheaply, often in "Pound Shops" or market stalls.

Long firm frauds take fraudulent trading to the extreme, specifically establishing a business for the sole purpose of building up as much credit as possible before folding and owing substantial sums. Prime quality goods can easily be sold off at rock bottom prices.

There are two main messages to traders. The first is to make sure that you have adequate credit control policies in place - it is much harder now for a fraudster to set up a bogus company that will survive a few simple checks you can make on Companies House. Take references and follow these up. Do not allow a company to exceed its credit limit no matter how good a customer it seems to be.

The second message is if you do find a customer goes bust owing you money, check to see if there are many others in the same boat and if there is a pattern indicating that you have suffered a fraud. If so, band together with the other disadvantaged creditors and insist that the insolvency practitioner conducts a fraud investigation properly. If not, remove them and appoint your own representative and consider jointly funding a fraud investigation along with all the other victims to recover your assets.

There are a lot of regulatory hoops to jump through when you are running a restaurant, and most are unavoidable. Each local jurisdiction will have their own rules as to what you need. In the least you will need your health and safety certification.

Your second biggest marginal cost after supplies is going to be salaries. Each area has their own rules about paying staff. However your biggest task is going to be to make sure you have enough staff on to cover tables, but not so many that they are standing around. Also you should be looking to have as many junior staff as one or two manager can handle, but having an experience chef and front of house manager standing around during quiet times is crazy. You may have to get in and become a key member of the team yourself.

Marketing

The thing that you should look at allocating at least some budget for is marketing/advertising. In the least you should spend your time looking in the local papers to find journalists that would be interested in coming in for the grand opening. Take the time to work out if you want to place an ad in the local paper, or invite some local groups like the Rotary Club to an exclusive night in. You could spend the first week prior to opening just hosting small dinner parties, this would give you the chance to get your staff up to speed.

Without the healthy competition between two companies, customer service may decline while prices skyrocket. Essentially, a monopoly is created and consumers may suffer.

A vertical merger happens when a client and a company merge. An example of this might be when a hot dog company merges with a hot dog bun company. Because both products are still offered and they work together, consumers get the products they need. A vertical merger does not eliminate the competition for a particular company and is therefore often seen as a much more welcome combination.

Mergers and acquisitions have been a part of business for hundreds of years, though they weren't as prevalent as they are today. The first significant occurrence of mergers happened in the late 1800s and early 1900s, though the concept wasn't new even then. Since that large wave of mergers and acquisitions, which has become known as the Great Merger Movement, there have been six more significant waves of merger and acquisitions. In most cases, the mergers are peaceful and welcome on the part of both companies involved. The 1990s saw several hostile takeovers, however. The years since 2000 have seen many international mergers and acquisitions, and this is changing the face of business. Today's U.S. government stimulus quiver has run out of arrows: the traditional monetary and fiscal policies have run out of steam. We cannot stimulate domestic production without adding structural changes to the economy. It is like pushing on a string or trying to inflate a tire with a hole in it. Entire industries are now overseas, predominantly in Asia. Hence the persistent very high US jobless rate. There is absolutely nothing on the horizon that promises to revive the sagging American economy.

This paper proposes a new locomotive of growth in the form of an Apollo-scale health and energy initiative to be financed, almost totally, by the private sector. This initiative will lay a solid new foundation for a vibrant economy and put America back to work. It's a job-creating machine for the 21st century. The beauty of this plan is that it does not exacerbate the deficit or balloon the size of government.

Where will the money come from? Currently, we're in the middle of a huge liquidity crisis. Investors and corporations have trillions of dollars sitting on the sidelines waiting for a secure financial vehicle to invest in. We are proposing the creation of two new government-guaranteed private venture funds that will activate this dormant, parked money and use it to rebuild our economy--making energy and health twin locomotives for economic growth. This initiative will replace the overstretched consumer as an engine for economic growth.

Here's how the U.S. government, in conjunction with a consortium of "Venture Capitalists," can help jump start this new locomotive:

1) Develop two blueprints that detail the Energy and Health initiatives. The Energy Blueprint defines the architecture for a green nation-wide grid--including the details of how different sources of clean energy can participate in the grid. The Health Blueprint defines an Apollo-like medical research program to eradicate the big Medicare draining three chronic diseases in America, cancer, heart disease and diabetes, with a heavy emphasis on prevention. Technocrats can work out the details and present them as a package for political review and approval.

2) Announce the creation of two new government-supported Private Venture Funds: the U.S. Energy Fund and the U.S. Health Fund.

3) The government will insure the initial investments (i.e., the Founder Stocks) that go into the venture. In return, the government will be given a 15% ownership of the Founder Stocks. The bulk of the fund will come from a sea of money that is currently sitting on the sidelines looking for safe and profitable sources of investments. As a further incentive, the government could waive capital gains and dividend taxes on these funds.

4) The Energy and Health Funds will fund new and existing ventures to achieve--in record time--the goals set by the blueprints.

5) The government will subsidize some of the non-profitable parts of the plan (for example, some parts of the public energy grid, basic medical research). In these cases, the government will receive additional stock in return for its investments.

6) When these two initiatives are successful, the government will eventually sell its stocks to fund Medicare and Social Security. There are sixty trillion dollars in unfunded entitlements, primarily in Medicare and Social Security, which will somehow have to be financed. Increasing taxes on a job base which has shrunk due to globalism is not the answer.

This program will put America back to work in record time at minimal cost to the taxpayer. It will also revive the financial markets. America will be issuing government-guaranteed securities that are backed by real infrastructure. The program shifts the implementation of these initiatives from the public sector, transforming them into public private initiatives, resulting in enhanced creativity and job growth. Checks and balances, tough underwriting, transparency, bullet proofing from lobbyists and all those who will try to subvert the process for individual profiteering, high principles, and extensive due diligence are paramount to a successful program.

Implementing this plan will mobilize resources from every sector of our economy.... research and development, capital markets, domestic factory production, construction, and most importantly will harness the underutilized talents and energies of millions of American workers in all skill categories. The jobs produced must be domestic ("sticky") and not easily transferred offshore.

Structuring the energy and health initiatives as proposed, will enable them to be implemented on a much bigger and well funded scale than simply appropriating limited government funds for government administered initiatives. Just as essential, the nation will be offered a new vision to strive for, distracting its attention from the self perpetuating spiral of fear of global systemic failure we are once again in. It is a win-win proposition for putting America back to work. It's a new locomotive of growth for the 21st century. It will create millions of new American jobs without adding new taxes or expanding the deficit. Over time, the new jobs will reduce the deficit and make America the most productive country on earth.

What Ever Happened to the Theory That You Could Count Your Real Friends on One Hand?

Okay so, one thing I like to do is go down to the local Starbucks and engage in intellectual discourse and dialogue. Often, the discussions and debates I get into are quite enlightening, and it surely helps me as a writer, as I am in constant need of coming up with new topics to write about for my loyal readers, people like you.

One thing I've noticed over the last two or three years is that people come into Starbucks, a place where generally people congregate in public for cultural reasons to exchange ideas and have meaningful conversations - but instead, these people whip out there smart phones, iPhones, tablets, and iPads, and yes, some of them bring in their larger laptops and notebooks. They are so busy playing around with their social networks online that they don't pay anyone else any attention.

Now then, it's nice to see so many locations now offer free Wi-Fi because people like to use their personal tech devices, but it is also unfortunate that such a wonderful social meeting ground has been reduced to everyone playing around on Twitter and Facebook rather than conversing and getting to know one another. It's as if people are being social online and less-than-social when they are out in public, where it really matters.

That's too bad really, and I'd like to discuss this with you, but also take this entire line of thought to a higher level. In the July-August edition of American Conservative there was an interesting article titled; "Anti-Social Network - Who Needs Friends When You Have Facebook," by Stephen B. Tippens Jr. and in his article, Stephen make some good points. It is as if a whole generation of people are into the online socialization instead of understanding what it is to be human and socialize in real life.

Now then, I am not a PhD psychologist researcher, but it appears to me that there will be psychological repercussions to all this. Human beings are social animals, and it appears that these online social networks provide for an inherent need, but they are delivering on that promise. If I am sitting in Starbucks for a couple of hours, and there are three or four people sitting around me who never even say hello, at a coffee shop which is known as a social meeting and gathering place for that purpose, then we seem to have a problem.

Worse, I would submit to you that the problem is growing further and it is taking away humanity's soul. And whereas there are a lot of good things that come with social networking, it's hard to say if it is a net positive. Indeed, we won't know for many years or decades into the future whether this experiment, with billions of people engaging in social networks has helped humanity, or made it worse. In many regards it brings people all over the world together in a common cause, hobby, industry, or line of thinking, but it also pulls people apart in many ways as well.

Do those that run social networks really care about humanity, or human beings in general? Humans are social animals that have needs of companionship, but do the social network folks really care? Well, they surely claim to but I really wonder and after reading the book about Facebook and how it got started, I have more questions than answers now, and at least as many more concerns about the topic. In fact, I'd like to recommend this book to you, and after you read it, perhaps you may contact me and tell me if you share my views. The name of the book is;

You see, it appears to me that Facebook is a business like any other business, and they are in business to make money, and as much money as possible as they try to monetize their business model. If you doubt this, there was an interesting article in the Wall Street Journal on August 3, 2011 titled; "New Metrics Gauge Heft of Facebook Ads," by Shayndi Raice. Indeed, let me tell you; there are big investment banks behind this, and some of the wizards on Wall Street and Silicon Valley.

Still, Facebook is more than just a business, as it has become a way of life for some 700 million people on the planet now, and it is changing the way we think, act, and is affecting the stability of nations, governments, and economies. Needless to say, these are all serious issues. But of course these are not the only issues, and I'd like to discuss another recent research paper I read from a top university about the effect that social networks are having on adolescents.

The study I read stated that a teenage boy cares more about their profile, and how they look on Facebook, that is to say their digital real estate there, than the type of car they drive. Obviously, in decades past teenage boys were very concerned with getting a car, and having a cool car so that they looked good amongst their friends, and could attract teenage girls. Now then, you can understand that these online social networks have taken the place of socializing in the real world.

And just as Maslow's "Hierarchy of Needs" Pyramid suggests, these kids desire respect from their fellow man, especially members of the opposite sex at that age as they go through puberty. This throws an incredibly new dynamic into the situation. In fact, there have been suicides of teenagers who found that their reputations were trashed online on these social networks, or when former friends ganged up on them and said mean things. Obviously, these social networks are a powerful force in a teenager's life. Might I suggest they have too much power?

Okay so, let's talk about that for a moment. If these teenagers are so worried about their reputations online, that they go out of their way to please their followers, and their fake digital friends, then in a way they are losing their individuality to the blob of the digital masses. Now, I may be pushing the limits of what you will accept as believable, but I would suggest to you that this is just one step away from a Borg-like society where humans are controlled through the mass social manipulation of machines.

Now then, obviously that's a very heavy statement, but I'm not going to take it back, because it appears to me that the writing is on the wall. Further, five years ago social networks did not exist, and as we add artificial intelligence, facial recognition features, and other sophisticated algorithms to the process, along with the opportunity which is ultimately hard to resist for authorities to control the population, I'd say we are entering a dangerous age. There are those who are greedy for power, money, control and/or some or all of the above. "Beware humans," I say!

It is not my intention to scare anyone, just to wake everyone up, and get them thinking about what social networks mean, and what they will become in the future. If we are willing to think through this new technology, and what it means for our future, we may be able to harness its power for the good of humanity, rather than allowing it to enter a rogue realm which we will ultimately pay for later. Indeed I hope you will please consider all this and think on it.

In my last post I told you I was going to continue on the journey of "getting your foot back in the door" with your overdue patients. I've had requests for the actual scripting that I would recommend. Such a dangerous request... but I'm going to give it to you anyway.

I have to give you my disclaimer first: If you don't want to hear the answer... don't ask the question.

Getting on the phone and calling patients is much easier than you think. What generally happens is a doctor will ask me what they should say... I tell them... they don't like it and do their own thing. So why even ask?

I will also tell you there are 30 other variations of this script that you can use. Oh you want me to tell you which doctors will have the most success with this script?

The ones that pick it up... had it to their staff and say... "use this exact script when you are calling our patients".

They are NOT going to overthink it... they are just going to do it. They will have called 100 patients and scheduled 20 appointments in the same time that all the other doctors set it aside and said... "I like it but I'm not sure what my patients, staff, family, (fill in your excuse here) will think of it".

The doctors that have the most success JUST DO IT (it's more than a slogan folks).

If you don't like the exact way it's scripted... make the changes you want... then start dialing for dollars.

Let me tell you a little about the opening sentences. Be transparent AND take responsibility. When someone answers you respond with this:

Hi, this is (staff name) from (office name), is Mr. /Mrs. ___________ available?

By identifying yourself you don't sound like a tele-marketer and have a much better chance of getting who you are looking for (you know what I'm talking about... you've probably told someone you weren't available before).

Once you get them on the phone you say this:

Hi Mr. /Mrs. ____________, I was taking a look through some of our files and noticed that you are past due for your annual eye exam. Please forgive me for letting your file slip through the cracks. I have some openings this (week/tomorrow) to get you in. Would you prefer morning or afternoon? (Continue with scheduling)

You've taken responsibility for the scheduling error and are trying to make it right. DON'T blame your patient and tell them they are at fault for not coming in. They will appreciate the grace that you give them.

(ii) Signal transduction inhibitors; e.g. HER receptor inhibitors, protein kinase inhibitors (scr inhibitors e.g. Dasatinib/Spryce®, Bosutinib), aurora kinase inhibitors (AZD-1152), MAPK inhibitors (Tipifarnib/Zarnestral, Sorafenib/Nexavar, ARRY-142886), PI3k/Akt/mTOR inhibitors (Temsirolimus/Torisel, Rapamycin/Rapamune, Perifosine), etc. (iii) Gene expression modifiers/epigenetic modulators; e.g. histone deacetylases (HDACs) inhibitors and DNA methyltransferase inhibitors (Vorinostat/Zolinza®, Romidepsin (Istodax®), which increase gene expression leading to the induction of tumour cell differentiation, cell-cycle arrest, and apoptosis (Rountree et al., 2000). (iv) Cell death enhancers; these interfere with the action of proteasomes and DNA synthesis thus triggering cell death (Bortezomib/Velcade®, Pralatrexate/Folotyn®) (v) Angiogenesis blockers, which block the growth of blood vessels to tumours, integrin agents that inhibit metastasis (Volociximab), and anti-VEGF/VEGFR (Vascular Endothelial Growth Factor) agents (Bevacizumab/Avastin®, Sorafenib/Nexavar®, Sunitinib/Sutent®).

EGF signalling is crucial in cancer since it integrates many cascades and also that tumour cells produce EGF-related growth factors (e.g. TGF-α is a ligand for EGFR), which makes EGFR constitutively active. For this reason and the fact the EGFR was the first receptor TK directly linked to human cancers, many MoAbs and SMPKIs and been developed and approved for EGFR/HER2/ErbB targeted therapies in many cancers. However, since most signalling pathways interact through extensive cross-talk with other pathways, the use of drugs that target a single pathway has shown limited success. After initial responsiveness patient tumours then become resistant or re-occur, as seen with some ErbB-targeted drugs and Gleevec targeting of Bcr-Abl. The authors showed that after initial success, the tumour cells developed a mechanism to circumvent the actions of these drugs, either by mutations (allelic adaptive changes) such that the drugs cannot bind catalytic domains or via by-passing that route in the cascade. As a result of this, back-up inhibitors and combination therapies have been developed. These therapeutics target several receptors and/or signalling pathways, thereby reducing the chance of drug resistance. Lapatinib, which targets both EGFR and HER2/neu receptors and Sunitinib/Sutent®, which targets PDGFR, VEGFR, c-kit and Flt3 are good examples of such drugs.

The future of targeted therapeutics will be based on multi-component drugs having combination effects since oncogenesis is a multi-genic, multi-stage process.
